Depends on what you want.

If you want an exclusive relationship make sure he's up to it (I.e. Not married, is single, not a player, interested long term).

If you want something casual just go for it.

However, I agree with what Shh! said. Chances are in favour of 37 year olds being physically into 23 year olds. Chances begin to fade dramatically of them wanting a long term relationship with someone they may deem as immature or not in their league. However, this is going into a generalization area, most aspects will depend on the individual in question.
